Ownership, Operation & Acceptance of Terms

Intention Products, LLC d/b/a Kim Castle™ (“IP,” “we,” “us,” or “our”) owns and operates the websites located at https://kimcastle.com and any related applications, services, and content (collectively, the “Sites”). The materials on the Sites are protected by applicable copyright, trademark, and other intellectual property laws. The Sites may contain advertisements, sponsored content, paid insertions, affiliate links, or other forms of monetization.
By accessing or using the Sites, you (“you” or the “user”) agree to be bound by these Terms and Conditions (the “Terms”) and all applicable laws and regulations. If you do not agree to these Terms, you are prohibited from using or accessing the Sites.
We strive to answer all support inquiries and phone messages within forty-eight (48) business hours (weekends and U.S. federal holidays excluded).
We may update these Terms from time to time. The “Last Updated” date above reflects the effective date of the current version. Your continued use of the Sites after changes are posted constitutes acceptance of the updated Terms.

Privacy Policy

Your privacy is important to us. Please review our Privacy Policy, which explains how Intention Products, LLC d/b/a Kim Castle™ (“IP,” “we,” “us”) collects, uses, and protects personal information obtained through our Sites and services. The Privacy Policy forms part of these Terms. By using our Sites or purchasing any product or service, you acknowledge that you have read and agree to the Privacy Policy.

We may update the Privacy Policy from time to time to reflect changes in law or our practices. Material changes will be noted with a new “Last Updated” date on that page, and continued use of the Sites after such posting constitutes acceptance of those updates.

Digital Millennium Copyright Act (DMCA) Policy

Intention Products, LLC d/b/a Kim Castle™ (“IP”) respects the intellectual property rights of others and expects users of our Sites to do the same.

If you believe that material appearing on any of our Sites infringes your copyright, you may submit a notification under the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512) by providing the following written information to our designated DMCA Agent:

  • A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
  • Identification of the copyrighted work claimed to have been infringed;
  • Identification of the material that is claimed to be infringing, and information reasonably sufficient to permit us to locate the material on the Site (for example, a URL);
  • Your contact information, including name, address, telephone number, and email address;
  • A statement that you have a good-faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and A statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

Upon receipt of a valid DMCA notification, IP will promptly remove or disable access to the allegedly infringing material and will notify the individual who posted it, consistent with Section 512 of the DMCA. Repeated infringement may result in termination of user access.

Terms of Sale

4.1 Overview

All purchases of products, programs, courses, workshops, events, and services offered by Intention Products, LLC d/b/a Kim Castle™ (“IP”) are governed by these Terms of Sale.

By completing any purchase, subscription, or enrollment, you acknowledge that you have read, understood, and agree to these Terms and to any specific product terms applicable to the item selected.

4.2 Finality of Sale

All purchases made through Intention Products, LLC d/b/a Kim Castle™ are final and non-refundable as of the time of purchase.

Because our offerings include access to proprietary creative methods, scheduling of limited studio time, and immediate intellectual-property delivery, no refunds, credits, or cancellations will be granted once payment is processed, except where required by law or expressly stated in a separate written agreement signed by both parties.

4.3 Payment Authorization and Non-Payment

  1. Authorization. By submitting payment information, you authorize Intention Products, LLC d/b/a Kim Castle™ (“IP”) to charge the designated credit card, debit card, or payment account for the full amount of your purchase, including any recurring payments or renewals disclosed at checkout.
  2. Recurring Billing. If your purchase includes a subscription or auto-renewing plan (such as Continuum, Presence, or Creative), you authorize IP to automatically charge your payment method at the recurring interval associated with your plan until canceled in accordance with these Terms. Billing periods are calculated from the date of initial purchase unless otherwise stated in writing.
  3. Payment Failure. If any charge is declined or a scheduled payment fails, you agree to provide updated payment information within five (5) calendar days. Until payment is received, IP may suspend access to all programs, services, or deliverables. Balances not paid when due will accrue interest at 1.5% per month (or the maximum allowed by law) until paid in full.
  4. Collections and Costs. You agree to pay all reasonable costs of collection, including attorney’s fees, court costs, and collection-agency fees, incurred by IP in enforcing these Terms due to your non-payment or chargeback.
  5. No Set-Off. You may not withhold or offset any amounts owed under these Terms for any reason, including dissatisfaction with the service or pending dispute, except where required by law.

4.4 Refunds, Chargebacks & Disputes

  1. All Sales Final.
    All purchases made through Intention Products, LLC d/b/a Kim Castle™ are final and non-refundable as of the time of purchase. Because our products and services involve immediate access to proprietary creative methods, scheduling of limited time, and delivery of intellectual property, no refunds, credits, or cancellations will be granted once payment is processed, except where required by law or expressly stated in a written agreement signed by both parties.
  2. Chargebacks and Payment Disputes.
    Initiating a chargeback or payment dispute after receiving access or services constitutes a material breach of these Terms. Upon receipt of any dispute, IP will provide payment processors with proof of delivery (e.g., session records, emails, download logs, or creative files) and may pursue collection of the full balance owed plus all related fees, interest, and reasonable legal costs.
  3. Cure Process Before Dispute.
    Before filing any complaint or chargeback, you agree to send a written notice to support@intentionproducts.com describing your concern and to allow IP ten (10) business days to review and respond in good faith. Failure to follow this process waives your right to any refund or chargeback and will be considered a violation of these Terms.
  4. Evidence of Delivery.
    You acknowledge that access to digital materials, attendance at a session, receipt of any email deliverable, or submission of project intake materials constitutes delivery and fulfillment of IP’s obligations for the purposes of these Terms and for payment-processor review.
  5. Fair Resolution.
    IP is committed to reasonable resolution of concerns and may offer additional support, clarification, or adjustment where appropriate within the original scope of work, at its sole discretion. This does not constitute a refund or credit unless explicitly stated in writing.

4.5 Buyer Responsibility

  1. Personal Responsibility.
    By purchasing any product, program, or service from Intention Products, LLC d/b/a Kim Castle™, you acknowledge that your participation, implementation, and follow-through are essential to achieving any desired outcome. You are solely and wholly responsible for any decisions made or actions taken based on the materials, mentoring, creative direction, or advice you receive.
  2. No Guarantee of Results.
    While IP provides creative and strategic expertise, frameworks, and mentoring, we do not warrant or guarantee that you will achieve any specific level of success, revenue, recognition, or other outcomes. Results vary depending on individual circumstances, effort, and external factors beyond our control.
  3. No Refund for Non-Participation.
    Failure to attend sessions, submit required materials, start program activation, or otherwise engage with the program does not entitle you to a refund, credit, or chargeback. Scheduling of time, delivery of materials, or granting of access constitutes delivery of our services.
  4. Compliance with Deadlines.
    While IP makes every reasonable effort to accommodate unforeseen life events or scheduling challenges, all program timelines and activation windows are firm to protect the integrity of our work and scheduling capacity. Missed deadlines or failure to communicate within the required timeframe may, at IP’s discretion, result in forfeiture of your slot or payment without refund, as stated in the product-specific terms.

4.6 Product-Specific Terms ( Part 1)

4.6.1 Known (Edition)

  • The Known Edition is a one-time digital creative service combining image creation and strategic brand direction.
  • All payments are final and non-refundable once processed.
  • Clients who need assistance completing or submitting intake materials may contact IP for support within the activation window. While reasonable guidance will be provided, clients remain responsible for timely completion and submission.
  • A single fifteen (15)-day extension may be requested in writing via email to support@intentionproducts.com at least ten (10) days before the original activation window expires.
  • Failure to activate within the allowed time results in forfeiture of the project slot and payment without refund or credit.

4.6.2 Continuum 4 / Continuum 8

Continuum is a monthly subscription providing curated creative image packages.

  • All payments are final and non-refundable once processed.
  • Subscriptions renew automatically each month until canceled.
  • Cancellation requires thirty (30) days’ written notice by email to support@intentionproducts.com before the next billing cycle.
  • No refunds or credits are issued for partial months, unused deliverables, or non-participation.
  • No pause option is available at this time.
  • All unused credits, bonuses, or legacy-credit applications must be used within the active billing cycle and do not roll over unless otherwise stated in writing.

4.6.3 Presence

Presence is a high-touch strategic-and-creative mentoring container available in three (3), six (6), or twelve (12) month terms.

  • All payments are final and non-refundable once processed.
  • The program auto-renews at the same term length unless canceled in writing at least thirty (30) days before the renewal date.
  • Programs may not be canceled mid-term.
  • Clients may decline renewal only with timely written notice as stated above.
  • Participation implies acknowledgment of recurring billing under the same payment method until cancellation is confirmed in writing by IP.

4.6.4 Creative

The Creative Program provides ongoing fractional Creative Director and Brand Strategy support.

  • All payments are final and non-refundable once processed.
  • Subscription terms are available in three-, six-, or twelve-month increments and auto-renew at the same term length unless canceled in writing forty-five (45) days before renewal.
  • Because of limited enrollment, access and scheduling are non-transferable.
  • IP reserves the right to adjust service cadence or creative scope to maintain quality and capacity across all active clients.

4.6.5 Campaign

The Campaign Program delivers strategic campaign concepts, positioning, and messaging only.

  • All payments are final and non-refundable once processed.
  • No production or physical deliverables are included.
  • Delivery is considered complete upon presentation of the campaign strategy and concept materials.

4.6.6 Clarity / Brandstorm Session

Clarity and Brandstorm Sessions are single-session strategic consultations.

  • All payments are final and non-refundable once processed.
  • Delivery is deemed complete once the session occurs or a session recording is provided.

4.6.7 Paid and Free Masterclasses / Events

  • All payments for paid masterclasses are final and non-refundable once processed.
  • Paid masterclasses may be transferred once to a future event if requested ten (10) business days or more before the scheduled event date.
  • No transfers are available within ten (10) business days of the event.
  • Free masterclasses carry no payment or refund obligations; participation implies acceptance of these Terms.

Digital Product & Intellectual Property License

5.1 License Grant.

Upon full payment, Intention Products, LLC d/b/a Kim Castle™ (“IP”) grants you a limited, non-exclusive, non-transferable, revocable license to use the digital assets, strategy materials, videos, images, and related creative content (collectively, the “Licensed Materials”) solely for your own business or personal brand use.

This license allows you to display, print, and internally reproduce the Licensed Materials for your own promotional and operational purposes but does not transfer ownership of any underlying intellectual property.

5.2 Restrictions.

You may not, without prior written consent from IP:

  • Resell, sublicense, distribute, or share any Licensed Materials or derivative works with third parties;
  • Use any Licensed Materials to develop competing products or services;
  • Claim authorship or remove proprietary notices from any Licensed Materials; or
  • Modify or adapt any Licensed Materials in a way that misrepresents the original intent or connection to Kim Castle™.
  • Use, copy, teach, replicate, or otherwise appropriate any part of IP’s proprietary creative or strategic process —including methods, frameworks, naming conventions, language, prompts, or steps used in the delivery of IP’s services— for commercial or instructional purposes.

5.3 AI-Generated and Collaborative Content.

Some deliverables, such as images or creative concepts produced through artificial-intelligence tools or co-creation processes, are generated under IP’s proprietary creative direction.

All rights, title, and interest in such AI-generated content remain with IP unless otherwise stated in writing.

You receive a license for display and marketing use connected to your brand but not the right to resell, mint as NFTs, or train additional AI models from these assets.

5.4 No Implied Rights.

Except for the limited license expressly granted herein, all copyrights, trademarks, trade dress, and proprietary methods remain the sole property of IP.

Nothing in these Terms shall be construed as granting any other rights, express or implied, to any technology, process, or creative methodology developed or used by IP.

5.5 Termination of License.

This license automatically terminates if you breach any of its terms or if payment is reversed or disputed. Upon termination, you must immediately stop using all Licensed Materials and delete all copies within your possession or control.

Intellectual Property Rights

6.1 Ownership of Intellectual Property

All materials, frameworks, methodologies, creative processes, brand systems, prompts, written language, course content, recordings, and all other works produced or made available by Intention Products, LLC d/b/a Kim Castle™ (“IP”) remain the sole and exclusive property of IP.

This includes both materials delivered to clients and any underlying intellectual property used in developing, presenting, or supporting those materials.

Nothing in these Terms or in any product purchase shall be construed as transferring ownership of any intellectual property to the client or granting any rights other than the limited license set forth in Section 5.

6.2 Trade Secrets and Confidential Methods

The processes, techniques, creative frameworks, and strategic approaches used by IP in its services and products are considered trade secrets and confidential business information.

You agree not to disclose, copy, reverse-engineer, distribute, or teach any of these methods, in whole or in part, for any reason.

Any unauthorized use of IP’s proprietary methods or frameworks constitutes misappropriation of trade secrets and a material breach of these Terms.

6.3 Trademarks and Brand Assets

All trademarks, service marks, logos, and trade dress associated with Kim Castle™ or Intention Products, LLC are owned exclusively by IP.

You may not use any of these marks or brand assets without express written permission. Any authorized reference to IP’s name or marks must maintain integrity, attribution, and context.

6.4 AI Tools and Creative Direction

IP may utilize artificial intelligence and digital-generation tools as part of its creative and strategic process.

All resulting works are directed, curated, and edited under IP’s creative supervision and are considered original works authored by IP.

IP makes no representation or warranty regarding the ownership of any underlying third-party data or algorithms used in the training of AI systems and disclaims any responsibility for such underlying data.

Clients receive rights only to the final deliverables provided by IP as described in Section 5. Any further reproduction, resale, or use in new AI training models is strictly prohibited.

6.5 Survival of Rights

These intellectual property provisions survive termination, expiration, or completion of any product, program, or service relationship.

No termination, refund, or chargeback affects IP’s continuing ownership of its creative methods, brand assets, or trade secrets.

Limitation of Liability

7.1 General Limitation.

To the fullest extent permitted by law, Intention Products, LLC d/b/a Kim Castle™ (“IP”), its officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, goodwill, data, or business opportunity, arising out of or related to the use or inability to use any product, service, or material provided by IP—even if IP has been advised of the possibility of such damages.

7.2 Cap on Damages.

In no event shall IP’s total liability for any claim arising under these Terms exceed the total amount paid by you to IP for the specific product or service giving rise to the claim.

7.3 Professional Reliance Disclaimer.

All creative and strategic services are provided for informational and educational purposes. They are not legal, medical, financial, or psychological advice. You agree to seek independent professional guidance where appropriate and acknowledge that IP is not responsible for decisions made based on any information or recommendation provided.

7.4 Reliance on Deliverables.

Client understands that brand strategy, creative direction, and advisory materials are subjective and that results depend on the client’s own implementation and market conditions. All deliverables are accepted “as is.”

7.5 No Third-Party Liability.

IP is not responsible for the acts, omissions, or services of any third parties recommended or used in connection with your project, including vendors, printers, platforms, or AI service providers.

Acceptable Use & Conduct

8.1 Lawful Use Only

You agree to use all websites, products, programs, and materials provided by Intention Products, LLC d/b/a Kim Castle™ (“IP”) solely for lawful purposes. You may not use these resources in any way that violates applicable laws or regulations, or that infringes upon the rights of others.

8.2 Respectful Participation

Whether engaging through online portals, live events, or community spaces, you agree to interact respectfully with IP, its team, and all other participants. Harassment, abusive language, discrimination, or disruptive conduct of any kind may result in immediate removal from a program or event without refund.

8.3 Prohibited Conduct

You agree not to:

  • Upload, transmit, or distribute any material that is defamatory, obscene, or otherwise objectionable;
  • Use the IP websites or programs to solicit others for illegal acts or to violate any international, federal, or state regulations;
  • Introduce viruses, bots, or malicious code that disrupt or damage the functioning of any system or network;
  • Attempt to gain unauthorized access to any portion of IP’s systems, data, or accounts;
  • Use any automated system or software to extract data (“scraping”) from IP’s websites or platforms; or
  • Engage in any activity that damages, disables, or interferes with the normal functioning of IP’s offerings or the experience of other users.

8.4 Confidentiality of Group Spaces

When participating in any group program, workshop, or community forum hosted by IP, you agree to maintain the confidentiality of all shared discussions and personal information disclosed by others. Breach of confidentiality is grounds for removal without refund.

8.5 Enforcement

IP reserves the right to monitor and moderate participation in any of its spaces and to remove or restrict access to anyone who violates these Terms, disrupts community harmony, or acts in a way inconsistent with the values of respect, integrity, and professionalism. Decisions of removal or restriction are at IP’s sole discretion and are not subject to refund.

Use of Testimonials, Recordings, Creative Work & External Links

9.1 Testimonials and Endorsements

Testimonials appearing on any website, program page, or promotional material owned by Intention Products, LLC d/b/a Kim Castle™ (“IP”) are genuine client experiences voluntarily shared through text, audio, or video. They are provided for illustrative purposes only and represent individual results, which vary from person to person. IP does not claim or guarantee that current or future clients will achieve the same results. Testimonials may be edited for length, grammar, or clarity without altering meaning. By submitting a testimonial, you grant IP a perpetual, worldwide, royalty-free license to use, reproduce, publish, and display your words, name, image, or likeness in any media for promotional and educational purposes, unless you notify IP in writing that you prefer anonymity.

9.2 Use of Recorded Sessions & Creative Work for Marketing

By participating in any live or recorded program, session, workshop, or project with IP, you acknowledge and agree that:

  • Sessions may be audio- or video-recorded, and IP retains all rights to those recordings.
  • IP may use excerpts, still images, anonymized clips, or written or verbal contributions—including your likeness, voice, or text—for promotional, educational, or portfolio purposes in any media now known or later developed.
  • IP may display, publish, or reference any non-confidential work created before, during, or after a project—including drafts, concept art, designs, creative strategy, or final deliverables—for portfolio, promotional, and educational use.
  • IP will not disclose confidential business information, financial data, or unpublished intellectual property belonging to the client.
  • If you prefer not to be identified by name or likeness, you must notify IP in writing before the project or session begins. Attendance or continued participation constitutes consent to recording and promotional use.

9.3 FTC Compliance

IP complies with the Federal Trade Commission (FTC) guidelines concerning the use of endorsements and testimonials in advertising. Any paid relationships or affiliate compensation connected to testimonials, guest features, or collaborative content will be clearly disclosed where applicable.

9.4 External Links

IP’s websites and materials may contain links to third-party websites, tools, or resources. These links are provided solely for your convenience. IP does not endorse, monitor, or control these external sites and is not responsible for their content, accuracy, or privacy practices. Visiting or relying on any linked website is done at your own risk.

9.5 Third-Party Content Disclaimer

From time to time, IP may reference or share content created by others. All such content remains the property of its respective owners, and IP makes no claims of ownership or responsibility for that material.

Dispute Resolution & Governing Law

10.1 Good-Faith Resolution

Before taking any formal action, both you and Intention Products, LLC d/b/a Kim Castle™ (“IP”) agree to make reasonable, good-faith efforts to resolve any dispute through written communication. Each party will allow at least ten (10) business days for discussion and informal resolution before initiating arbitration or legal proceedings.

10.2 Binding Arbitration

Except for actions seeking injunctive relief or matters eligible for small-claims court, any dispute or claim arising out of or relating to these Terms shall be resolved by final, binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

  • Location & Venue: Las Vegas, Nevada, U.S.A. (or virtual arbitration if mutually agreed).
  • Governing Law: The laws of the State of Nevada, without regard to conflict-of-law principles.
  • Prevailing-Party Costs: The prevailing party in any arbitration shall be entitled to recover from the non-prevailing party all reasonable attorneys’ fees, arbitration costs, and related expenses, in addition to any other relief granted by the arbitrator.

10.3 Injunctive Relief and Intellectual Property

Notwithstanding Section 10.2, IP may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property, trade secrets, or proprietary rights without first resorting to arbitration.

10.4 Time Limitation to Bring Claims

Any claim or cause of action arising out of these Terms must be filed within one (1) year after the cause of action accrues; otherwise, that claim is permanently barred.

10.5 Venue for Court Actions

If court action is permitted under these Terms (e.g., injunctive relief or small claims), the exclusive venue shall be the state or federal courts located in Clark County, Nevada. You consent to personal jurisdiction in such courts and waive any objection to venue or forum non conveniens.

10.6 Class-Action Waiver

All disputes must be brought in the parties’ individual capacities, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate claims or preside over any form of class action.

10.7 Costs, Attorneys’ Fees, and Related Expenses

In any arbitration, mediation, or legal proceeding arising from or related to these Terms, the prevailing party shall be entitled to recover its reasonable attorneys’ fees, arbitration costs, travel expenses, lodging, and other related costs of participation or enforcement, in addition to any other relief awarded.

The arbitrator (or court, as applicable) may, in its discretion, order interim reimbursement or advancement of fees and costs where one party’s claim or defense is determined to be frivolous, brought in bad faith, or without substantial justification.

The award of attorneys’ fees, costs, and expenses—including travel and enforcement costs—shall survive entry of judgment and may be enforced as part of the prevailing party’s right to recover all amounts owed.

Miscellaneous Provisions

11.1 Entire Agreement

These Terms, together with any product-specific agreements or order forms, constitute the entire agreement between you and Intention Products, LLC d/b/a Kim Castle™ (“IP”) and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, relating to the subject matter herein.

11.2 Amendment and Updates

IP reserves the right to amend or update these Terms at any time. Any changes will become effective upon posting to the IP website or direct notification to you. Continued use of IP’s websites, programs, or services after notice of changes constitutes acceptance of the updated Terms.

11.3 Notices

All notices required or permitted under these Terms shall be in writing and deemed delivered when sent via email to the most recent address provided by the receiving party. Notices to IP should be sent to support@intentionproducts.com or to its current business address listed on its website.

11.4 Severability

If any provision of these Terms is found by an arbitrator or court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.5 Waiver

No waiver of any breach of these Terms shall be deemed a waiver of any subsequent breach. A waiver must be in writing and signed by the party granting the waiver.

11.6 Assignment

You may not assign or transfer your rights or obligations under these Terms without IP’s prior written consent. IP may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets, or to any affiliate or successor entity.

11.7 Headings

Section titles and headings are included for convenience only and shall not limit or affect the interpretation of these Terms.

11.8 Force Majeure

IP shall not be liable or deemed in breach for any delay or failure in performance resulting from events beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, pandemics, governmental restrictions, power outages, internet or communication failures, or other force majeure events.

11.9 Survival

All provisions that by their nature should survive termination of these Terms (including but not limited to payment obligations, intellectual property restrictions, limitation of liability, dispute resolution, and indemnity) shall survive and remain in full force and effect.

11.10 Counterparts and Electronic Signatures

These Terms may be executed or accepted electronically and in counterparts, each of which shall be deemed an original and together shall constitute one and the same instrument. Consent by electronic means (including “click to accept”) shall be legally binding.
